Proprietary Materials Agreement
JMW uses secure technology, privacy protection controls, and restrictions on access in order to safeguard information shared in its Online Learning Community. Information posted or shared in the JMW Online Learning Community private message board is only posted to members of the JMW Online Learning Community.
As consideration for and as an inducement to JMW to permit me to participate and contribute to the Online Learning Community message board, I agree as follows:
As a member of the JMW Online Learning Community, I will be provided with access to personal, proprietary, and/or otherwise confidential information. Said information will include JMW intellectual property and/or other proprietary information, as well as personal or business information posted by past or present JMW course participants (‘Participants’) and other valued constituents of the JMW Online Learning Community. I agree to respect the confidentiality of and to keep all such information private and confidential. I understand and agree that certain personal or business information or materials relating to JMW or the Online Learning Community Participants posted or shared may be protected by copyright, trademark, trade secret and other applicable laws.
Further, as a member of the JMW Online Learning Community, I agree to maintain the strictest confidence to information to which I have access, both during and after my employment. I will not share any information posted or shared by JMW or Participants with others who are not authorized to participate in this Online Learning Community.
I agree to exercise caution and reasonable care when deciding to post personal or business information as well as confidential or proprietary information. I shall not at any time, for my own use, employer’s use or the use of anyone else, copy or duplicate or permit the copying or duplication of any part of the information posted in the JMW Online Learning Community message board. Screen shots and other forms of electronic copying or duplication are also prohibited.
I shall not publish, sell or re-sell, or in any manner permit the publication, sale or resale of the information posted in the JMW Online Learning Community message board, in part or in whole, to any person or entity.
I acknowledge that JMW shall be entitled to temporary and/or permanent injunctive relief in addition to damages and all other remedies for breach or threatened breach of this Confidential / Non- Disclosure Agreement without showing or proving any special damages.
